Brand agreement

This Brand Agreement supplements the Terms of Service and sets out the specific rules that apply to companies that post Campaigns on Patna. Capitalized terms not defined here have the meaning given in the Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, the Terms of Service control except with respect to matters expressly addressed here.

1. Campaign briefs

You will define, in writing in the Campaign brief, the Outcome you will pay for, the Payout amount, the attribution model and window, the hold period, the permitted and forbidden channels and tactics, geographic and audience targeting, brand-safety rules, disclosure requirements, and any optional per-Campaign requirements (for example, phone-number provisioning, email inbox, LinkedIn contractor verification). You will not modify these terms retroactively; any change applies only to Outcomes occurring after publication.

You are solely responsible for the truthfulness, legality, and substantiation of your product claims, pricing, availability, testimonials, and creatives, and for any regulatory approvals required for your category (including financial services, healthcare, insurance, gambling, crypto, cannabis, alcohol, and firearms). You warrant that you own or have licensed all rights necessary to distribute your assets to Partners.

2. Verification and rejections

You will verify Outcomes using the criteria published in your brief, apply those criteria consistently and in good faith, and complete verification within the timeframe stated in the brief (or, if none, within a commercially reasonable time). Rejections must include a specific reason and supporting evidence and are subject to Patna's dispute review.

You will not reject Outcomes to avoid legitimate Payouts, nor delay verification to prolong your hold. Repeated bad-faith rejections, delayed verification, or refusal to fund cleared Payouts may result in suspension, account termination, and referral to regulators or payment networks.

3. Payments

You will pre-fund your account or maintain a valid payment method on file so that Payouts and Platform Commissions can be settled promptly at the end of each hold period. Subscription fees are billed in advance per your selected plan and are non-refundable except where required by law. Late payment may result in suspension of Campaigns and interest at the lesser of 1.5% per month or the maximum rate permitted by law.

The Platform Commission is a fee payable by you to Patna for facilitation and is separate from and in addition to the Payout owed to the Partner. Chargebacks, refunds, and cancellations attributable to a Partner may trigger clawbacks against that Partner's balance in accordance with the Partner Agreement.

4. Partner conduct

You will promptly report suspected fraud, intellectual-property misuse, brand-safety issues, or policy violations to Patna via the in-app dispute flow or trust@onpatna.com. We will investigate using logs, communications, attribution data, and other reasonably available evidence. You may not directly retaliate against, harass, threaten, or attempt to circumvent Patna to pursue a Partner outside the Platform, other than through legitimate legal channels.

5. Data and privacy

Personal data of end users routed through Patna is subject to our Privacy Policy. As between you and Patna, you are the controller (or business, as applicable) for the personal data you collect from end users; Patna acts as processor (or service provider) for the personal data you push to us for attribution and Outcome verification. You will maintain a lawful basis for that processing, honor data-subject requests, and enter into any additional data-processing addendum reasonably requested by Patna.

6. Brand marks and reference use

You grant Patna a limited, non-exclusive, worldwide, royalty-free license to use your name and logo to identify you as a customer of the Platform (for example, in the marketplace, in dashboards visible to Partners, and in a general customer list on our website), subject to your reasonable brand guidelines and revocable on notice.

7. Termination

You may cancel your subscription at any time. Existing Outcomes will complete their hold period, and cleared Payouts and Platform Commissions will be settled in the ordinary course. Balances remaining after termination will be refunded to you or paid out to Partners as applicable, less any amounts owed to Partners, taxes, offsets, and disputed amounts. Sections that by their nature survive (indemnity, confidentiality, limitations of liability, dispute resolution) survive termination.
