Partner agreement

This Partner Agreement supplements the Terms of Service and sets out the specific rules that apply to anyone who promotes Campaigns on Patna in exchange for a Payout. Capitalized terms not defined here have the meaning given in the Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, the Terms of Service control except with respect to matters expressly addressed here.

1. Independent contractor

You are an independent contractor. Nothing in this Agreement creates an employment, agency, joint-venture, franchise, or fiduciary relationship with Patna or with any Brand. You have no authority to bind Patna or any Brand.

You are solely responsible for your own income and self-employment taxes, business licenses, permits, professional insurance, and immigration status, and for classifying yourself correctly under the laws of your jurisdiction.

2. Permitted promotion

You may promote a Campaign only through the channels and tactics the Brand expressly authorizes in the Campaign brief. If a channel is not listed, you may not use it. If the brief is ambiguous, you must ask before promoting.

You must clearly and conspicuously disclose your material connection to the Brand as required by the FTC Endorsement Guides (in the U.S.), the UK CAP Code, the EU Unfair Commercial Practices Directive, and equivalent rules in your jurisdiction. You may not make claims that the Brand has not authorized in writing, and you may not misrepresent product features, pricing, availability, or affiliation.

Optional per-Campaign requirements, such as adding the Brand as a contractor on your LinkedIn profile, apply only when the Brand elects to require them for a specific Campaign. There is no platform-wide requirement to list any Brand on any social profile.

3. Forbidden tactics

Trademark bidding on the Brand's or its competitors' names, misspellings, or product names, unless the brief explicitly allows it.

Cookie stuffing, click injection, adware, forced clicks, hidden iframes, redirects, bot traffic, or any technique that fires a click, lead, or conversion without genuine user intent.

Sending communications that violate CAN-SPAM, TCPA, CASL, GDPR, UK GDPR, ePrivacy, or comparable laws, using purchased or scraped lists, sending to addresses or numbers that have opted out, or spoofing sender identity.

Self-referral or referral by a household member or controlled entity, incentivized traffic that violates the brief, deceptive lead qualification, fake accounts, or fabricated Outcomes.

Any conduct that infringes intellectual-property rights, defames any person, discriminates unlawfully, targets minors, or violates consumer-protection or advertising standards.

4. Attribution and payouts

Unless the Campaign brief specifies otherwise, an Outcome is credited to the last unique Partner click within the attribution window, subject to the Brand's deduplication, quality, and fraud rules. Attribution decisions made by the Platform on the basis of its logs are conclusive as between Partners for the purpose of Payout allocation.

Payouts are held for the Campaign's hold period (0 to 14 days, and never longer than 14) to allow for refunds, chargebacks, cancellations, and quality review, then released to your available balance. Withdrawal minimums, methods, and fees are shown in your Earnings dashboard and may change from time to time on reasonable notice.

Payouts are paid net of any withholding required by law and any offsets permitted under this Agreement or the Terms of Service. Patna is not your bank and does not pay interest on balances held on the Platform.

5. Clawbacks

Payouts attributable to refunded, cancelled, charged-back, fraudulent, or policy-violating Outcomes may be reversed at any time, including after payout. If a reversal exceeds your available balance, Patna may offset against your future earnings or pursue other lawful means of recovery. Repeated clawbacks or serious violations may result in suspension or termination.

6. Confidentiality

Campaign briefs, unpublished Payouts, Brand roadmap information, non-public assets, and any personal data of end users you receive are confidential and may be used solely to perform under the Campaign. Confidentiality obligations survive the end of the Campaign and the termination of your account.

7. Data protection

Where you receive personal data of end users in connection with a Campaign, you will process it only for the purposes specified by the Brand, apply appropriate security measures, honor deletion and opt-out requests, and not use it for any other campaign, list-building, or personal purpose. You will not enrich or resell that personal data.

8. Termination

Either you or Patna may end your participation in a Campaign or your account at any time, with or without cause. Termination does not affect Payouts already earned and cleared, subject to clawback rights. Sections that by their nature survive (confidentiality, indemnity, clawback, limitations of liability, dispute resolution) survive termination.
